KeyLogic Systems, Inc., a leading provider of R&D technology management, BI data analysis and visualization, software and system engineering, cloud implementation, and biometrics solutions to the DOE, DOD, EPA, FBI, NASA and other federal agencies, announced on June 4, 2019 that it has been acquired by Information International Associates Holdings, LLC (IIA), an advanced analytics, data management, and technology firm focused on national security, energy assurance, and global competitiveness.

The merger of companies establishing a new mid-tier technology specialist with over 600 data scientists, developers, engineers, researchers, and analysts leveraging big data analytics, cloud computing, network and cloud telemetry, machine learning, high performance computing, and cyber analytics to solve the federal government's business problems quicker with high-impact outcomes.

KeyLogic also complements IIA with 40+ additional PhD-level subject matter experts.

“KeyLogic has a long history of technology-based problem solving and superior customer service. The combination gives both companies the capability to take on larger and more complex projects for our customers, and expands the depth and breadth of our technology prowess.” Jon Hammock, CEO of KeyLogic Systems, said.

“This is a great development for our employees, our customers, and our future,” he continued. “With the complementary analytics, data, and technology capabilities of IIA, and our shared culture of ingenuity and responsiveness, we have an even greater capacity to address our customers' emerging requirements in energy security, cyber security and enterprise-scale data management. I am proud of our people, what we have all accomplished, and am excited about our next chapter with IIA Technologies.”

Womble Bond Dickinson (US) LLP, led by veteran M&A attorney Dean Rutley, represented KeyLogic in the transaction. Rutley’s team included M&A attorneys Raj Singh, Susan Kim, and Laura Wiley. Womble Bond Dickinson attorneys Patrick Allen (employee benefits), Neill Edwards (tax), Todd Harris (IP transactions), Jim Kearney (government contracts), Lidiya Kurin (government contracts) and John Pueschel (labor & employment) also provided guidance on this transaction.

“We have a great deal of respect for the company that Jon Hammock built in KeyLogic and were thrilled to have represented them in such an exciting opportunity,” said Rutley. “The strengthened combination of KeyLogic with IIA is no doubt a win for the entire government contracting community.”
